We’re looking for a proactive Assistant Company Secretary to support the delivery of high-quality governance and company secretarial services across a Lloyd’s Syndicate. Working closely with the Company Secretary, you’ll play a key role in supporting the Board and Management Committees, ensuring compliance with the Companies Act, the UK Corporate Governance Code and wider regulatory requirements. Key Responsibilities:
-Support administration and governance of the Board and Management Committees
-Prepare agendas; coordinate and distribute Board and Committee packs
-Draft accurate minutes; maintain action logs and governance calendars
-Assist with Committee effectiveness reviews
-Draft and review governance documentation (e.g. Terms of Reference, Board Charters)
-Ensure statutory compliance (including Companies House filings and maintaining registers)
-Support Group policy governance and document control
-Contribute to governance reporting (including Annual Report & Accounts)
-Manage third-party governance providers; monitor service delivery
-Coordinate KYC, due diligence, and audit requests within required timelines
Essential Experience:
-4+ years experience in a Company Secretariat or corporate governance role within the insurance industry
-Strong understanding of the Companies Act and UK Corporate Governance Code
Desirable:
-CGI qualification (or working towards)
-Experience with Diligent Entities/Boards or similar systems
